By downloading, installing, or using the Aieia desktop application, the Aieia Web Portal, or any related services (collectively, the "Services") provided by Survon, Inc. ("Survon", "we", "our", or "us"), you agree to be bound by these Terms of Use ("Terms"). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.
If you do not agree to these Terms, do not use the Services.
Aieia is an autonomous AI platform that operates and automates scientific instruments and workflows on behalf of researchers by controlling instrument software or any other research software via a workstation computer. The Services include the Aieia desktop application, the Aieia Web Portal for remote task dispatch and device management, and any associated APIs, documentation, and support resources.
The Services are intended for professional, institutional, and commercial research use. By using the Services, you represent that you have the legal capacity to enter into a binding agreement under applicable law. You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations and with your organisation's policies, including those governing the instruments and software you direct Aieia to operate.
Certain features of the Services (including the Aieia Web Portal) require you to create and/or maintain an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly at aieia@survon.co if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized account use where you failed to safeguard your credentials.
Subject to these Terms, Survon grants you a limited, non-exclusive, non-transferable licence to use the Services for your internal research, laboratory, or institutional purposes in accordance with any separate subscription or access agreement in place between you and Survon.
You must not use the Services to:
The Services, including all software, designs, documentation, and content provided by Survon, are owned by or licensed to Survon and are protected by intellectual property laws. These Terms do not transfer any ownership interest to you. All rights not expressly granted are reserved by Survon.
If you provide feedback, suggestions, or ideas about the Services, you grant Survon a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without obligation to you.
You retain all ownership rights to the data generated by your instruments and research activities. Experimental data, results, and screenshots remain on your instrument computer and are not transmitted to or accessible by Survon, except as described in our Privacy Policy (which covers the limited audit log metadata we receive in Standard deployment mode).
You are solely responsible for the accuracy, legality, and appropriateness of all instructions, custom workflows, and task configurations you provide to the Services.
The Services use third-party AI models to perform visual reasoning during task execution. These providers operate under their own terms and privacy policies. Survon selects providers that offer zero data retention commitments for the data transmitted during inference. Use of Private Cloud Routing routes AI inference through your own cloud provider account, and your cloud provider's terms govern that data processing. Survon is not responsible for the acts or omissions of third-party providers.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SURVON DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Aieia automates instrument operations and software through AI-driven screen interaction. You acknowledge that AI-based automation may make unexpected decisions. You are responsible for maintaining appropriate human oversight of automated operations, particularly in safety-sensitive environments, and for ensuring that use of Aieia complies with all applicable safety protocols, institutional requirements, and regulatory obligations governing your instruments and research.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SURVON AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SURVON'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SURVON IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, liability for fraud or fraudulent misrepresentation, or any other liability that applicable law does not permit to be excluded or limited. If you are located in the EU/EEA or another jurisdiction where mandatory consumer or commercial protection laws apply, those laws may grant you rights that these Terms cannot override, and those rights are unaffected.
You agree to indemnify, defend, and hold harmless Survon and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) any data, instructions, or workflows you provide to the Services.
Survon may suspend or terminate your access to the Services at any time if you breach these Terms or if we discontinue the Services, with or without notice. You may stop using the Services at any time. Upon termination, provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will continue to apply.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
If you are a consumer located in a jurisdiction where this choice of law or venue is not enforceable, the law of your jurisdiction of residence shall apply to the extent required by law.
We may update these Terms from time to time. We will post the revised Terms on this page with an updated effective date. For material changes, we will provide additional notice (for example, by email or a notice in the Aieia Web Portal). Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of those changes.
